STC FY2009 Nominations for the Board of Directors
It's time to solicit
nominations for the STC Board elections for FY2009 (4/1/2008 - 3/31/09).

Election Process for the STC Board for FY2009: The addition of Board Members to represent the general membership will be done by election by the voting membership based on the following procedure:
- Members and non-members are eligible for election to the STC BOD
- The BOD will set a date for the voting to start. That date should be in February/March of every year. March 5 is the date voting will commence this year.
- The current BOD has the right to restrict any candidate from nomination or election to the STC if it determines that the person was nominated or elected with intention for malice towards the STC, or the person is blatantly not qualified for the position.

The timeline for the Election process shall be:
- Manager of the STC will solicit nominations from the Members by 4 weeks prior to the start of the voting process (Nominations solicited on Wed., Feb. 6. Voting begins on Wed., March 5th)
- Candidate nominations are due to the Manager and BOD by 2 weeks prior to the start of the voting process (Wed., Feb. 20th)

Current elected BOD members are automatically
nominated. This year there are
four elected directors that are automatically
nominated: Hideyuki Aoki, Klaus
Luther, Billy
Antheunisse, Steve
Wigley
- Note: Don Edenfeld and Rudra Kar are appointed to the Board by Steering Members Intel and Advantest respectively, and therefore are not part of this election process.
- The Manager will get a confirmation from each candidate that they want to run for the BOD. Any member that does not confirm their desire to run shall be removed from the candidate slate. The confirmations shall be received by 1 week prior to the start of the voting process. (Wed., Feb. 27th)
- BOD candidates are allowed to create a 1/2 page position statement. The statement should discuss vision, qualifications, and experience level. These are due by 1 week prior to the start of the voting process. (Wed. Feb. 27th)
- The slate of candidates shall be communicated to all voting members by the Manager; and the position statements will be sent out by the Manager at that time. This will occur 5-7 days before the start of the voting process. (Fri., Feb. 29th)
- The Manager will commence the election and the voting period is 2 weeks (Wed., March 5th to Wed., March 19th)
- After 2 weeks, the voting is closed and the votes will be tabulated and reported back to the Board of Directors by the Manager
- If a Quorum of 60% of the Member Companies has not cast their votes by the end of 2 weeks, the voting period will be extended by 1 week. That is the only extension that will be allowed.
Candidate Nomination and Voting Process shall be conducted as follows:
- Each member company shall be limited to nominate only as many candidates as there are open positions
- The Primary representative from each member company shall send any nominations unless they state that it can be done by the alternate
- The Primary representative from each member company shall send any votes from that company unless they state that it can be done by the alternate.
- In the case of a tie for the last open position, the Board shall break the tie with a majority vote. If the Board cannot break the tie the Chairman of the Board shall choose the winner from the tied candidates
- Each voting member company shall have one vote for Board Positions for each position available. (There are 4 positions available for FY2009.) If there are 4 open slots, each voting member company receives 4 votes. No company can vote for the same person more than once.

Representative from each company with voting privileges should
send up to 4 nominations with contact information to Bob Helsel,

19th at noon, PST.
